Terms & Conditions

This Terms of Service Agreement sets out the terms and conditions on which the customer (you) have engaged HireDigitalMarketingTeam Pvt Ltd to provide a few services as mentioned hereafter. This is a legally binding agreement between the customer (you) and HireDigitalMarketingTeam Pvt Ltd.

• SEO Services

1.1 HireDigitalMarketingTeam offers digital marketing services that include, but are not limited to: Search Engine Optimization (hereinafter known as “SEO”)

1.2 SEO Services

HireDigitalMarketingTeam provides SEO services to the Client for mutually agreed keywords, pages, and prices as agreed between the parties before the commencement of this Agreement.

1.3 The Client authorizes HireDigitalMarketingTeam to appoint agents and or contractors from time to time to assist in the provision of the Services under this Agreement.

Our Service Obligations

2.1 HireDigitalMarketingTeam will provide Services to the client in accordance with HireDigitalMarketingTeam`s standard policies and procedures. HireDigitalMarketingTeam reserves the right to reject Clients for any other reason, at HireDigitalMarketingTeam`s sole discretion. HireDigitalMarketingTeam will be responsible for all aspects of providing the Services.

2.2 All HireDigitalMarketingTeam rules, policies, and operating procedures concerning privacy, pricing, customer service, and all other aspects of the Services will apply, and HireDigitalMarketingTeam may change its rules, policies and operating procedures after a fixed period in its sole discretion.

SEO Reporting and Exercises

3.1 HireDigitalMarketingTeam’s link-building activities (“off-page optimization”) are confidential and HireDigitalMarketingTeam does not disclose these activities. However, to provide a client with feedback about how a domain is progressing with SEO services.

Charges & Payment

4.1 All fees for Services provided to the Client are due and payable in full, in advance of the provision of Services.

4.2 A Client can make payments to HireDigitalMarketingTeam by credit card, PayPal, or wire transfer.

4.3 If the Client provides HireDigitalMarketingTeam with their credit card information, the Client authorises HireDigitalMarketingTeam to automatically charge their credit or debit card for charges that apply to the Client’s account. Recurring charges will be posted to the Client’s credit card until such time that the Client cancel’s HireDigitalMarketingTeam’s service.

4.4 If the payment method is a credit card, HireDigitalMarketingTeam will attempt to charge the Client’s credit card on the monthly anniversary date of the client's first ordering services.

4.5 All invoiced fees must be received by 5:00 PM (Indian Standard Time) on the stipulated due date on the invoice.

4.6 Charges not paid by the due date for any reason might result in a suspension of Services until full payment is received.

4.7 The Client acknowledges that any unpaid invoices will be sent to the service provider after 2 months.

4.8 Except in the case of a material breach of this agreement by HireDigitalMarketingTeam, HireDigitalMarketingTeam does not issue refunds of any fees for any reason.

Client Obligations

5.1 Client will provide HireDigitalMarketingTeam with reasonable direct and remote access to its website, and shall provide such other reasonable assistance as HireDigitalMarketingTeam may request, including, but not limited to, providing source code and other statistical, diagnostic information and other relevant information required to enable HireDigitalMarketingTeam to comply with its obligations under this Agreement.

5.2 HireDigitalMarketingTeam shall provide the Services during the continuance of this Agreement HireDigitalMarketingTeam will use reasonable efforts to provide Client with the Services in accordance with the estimated timeline set out in the Project Brief.

5.3 Where the Service being provided requires, HireDigitalMarketingTeam will liaise with the relevant web agency, hosting company or other third parties in order to provide the Services. HireDigitalMarketingTeam shall not be liable for any act or omission by the relevant web agency, hosting company or other third parties, if such act or omission results in HireDigitalMarketingTeam breaching its obligations under this Agreement.

5.4 HireDigitalMarketingTeam will not make changes to or update the Customer’s website prior to written or verbal consent from the Customer, stating that HireDigitalMarketingTeam have the right to make the agreed changes and the Customer, as the website owner, agrees to and takes full responsibility for those changes being made.

Copywriting Terms

6.1 HireDigitalMarketingTeam agrees to produce written material for inclusion on the Client’s website upon the request of the Client and per the agreed specifications in the Project Brief.

6.2 HireDigitalMarketingTeam agrees that it will be the sole author of the work, which will be original work by HireDigitalMarketingTeam copywriter, free of plagiarism. HireDigitalMarketingTeam agrees to use reasonable care to ensure that all facts and statements in the work are true and that the work does not infringe upon any copyright, right of privacy, proprietary right, right of publicity or any other right of a third party.

6.3 Client may provide additional copy to HireDigitalMarketingTeam. The client accepts full responsibility for all detail contained in the copy provided to HireDigitalMarketingTeam and agrees to use reasonable care to ensure that all facts and statements in the work are true and that the work does not infringe upon any copyright, right of privacy, proprietary right, right of publicity or any other right of a third party.

6.4 HireDigitalMarketingTeam acknowledges that the Client has the right to edit the work in a time frame agreed upon in advance as it deems appropriate for publication and that HireDigitalMarketingTeam will cooperate with the Client in editing and otherwise reviewing the work prior to publication.

6.5 Client agrees that they are responsible for reviewing the final draft for accuracy to include spelling and grammatical errors, statements and assertions. HireDigitalMarketingTeam is not liable for errors discovered after publication.

Disclaimer For Service Warranty & Liability Limitation:

8.1 HireDigitalMarketingTeam warrants that the services provided will at the time of delivery correspond to the specifications provided in the agreed-upon Project Brief.

8.2 Client acknowledges that HireDigitalMarketingTeam does not warrant or make any representations concerning the accuracy of design, content, features, features, functions and performance of any web pages created by HireDigitalMarketingTeam or any advertisement placed on social media websites or otherwise, nor does it warrant or make any representations concerning the accuracy, likely results, or reliability of any optimization services it provides.

8.3 Client hereby agrees that the responsibility to check the performance, accuracy and quality of any web pages created by HireDigitalMarketingTeam rests solely with them.

8.4 Client hereby agrees that HireDigitalMarketingTeam is not liable for any failure to carry out services for reasons beyond its control including but not limited to acts of God, telecommunication problems, software failure, hardware failure, third party interference, Government, emergency on a major scale or any social disturbance of extreme nature such as industrial strike, riot, terrorism and war or any act or omission of any third party services.

8.5 Client agrees HireDigitalMarketingTeam is not liable for absence of services as a result of illness or holiday.

8.6. The content on this Site is for general information only and use and is not intended to address your particular requirements. In particular, the content does not constitute any form of advice, recommendation or arrangement by HireDigitalMarketingTeam and is not intended to be relied upon by users in making (or refraining from making) any specific investment or other decisions. Appropriate independent advice should be obtained before making any such decision. Any arrangements made between Client and any third party named on this Site is at Client’s sole risk and responsibility.

8.7 Use Of This Site Is At Your Sole Risk. All Materials, Information, And Services Are Provided “As Is,” With No Warranties Or Guarantees Of Any Kind, Either Express Or Implied, Including, Without Limitation, Implied Warranties Of Merchantability, Fitness For A Particular Purpose Or Non-Infringement. Without Limitation, Hiredigitalmarketingteammakes No Warranty Or Guarantee That This Web Site Will Be Uninterrupted, Timely, Secure, Or Error-Free.

To The Maximum Extent Permitted By Law, Under No Circumstances And Under No Legal Theory, Tort, Contract, Or Otherwise, Shall Hiredigitalmarketingteam Or Any Of Its Underlying Service Providers, Business Partners, Information Providers, Licensors, Officers, Directors, Account Providers, Employees, Distributors Or Agents (Collectively Referred To For Purposes Of This Section As “Hiredigitalmarketingteam”) Be Liable To You Or Any Other Person For Any Money Damages, Whether Direct, Indirect, Special, Incidental, Cover, Reliance Or Consequential Damages, Even If Hiredigitalmarketingteam Shall Have Been Informed Of The Possibility Of Such Damages, Or For Any Claim By Any Other Party. In The Event That Notwithstanding The Foregoing, Hiredigitalmarketingteam Is Found Liable To You For Damages From Any Cause Whatsoever, And Regardless Of The Form Of The Action, The Liability Of Hiredigitalmarketingteam To You Will Be Limited To The Amount You Paid For The Services.

Some Jurisdictions Do Not Allow The Exclusion Or Limitation Of Incidental Or Consequential Damages, So This Limitation And Exclusion May Not Apply To You.

Cancellation Of Service:

9.1 This Agreement shall renew at the end of each 30-day period for a successive 30-day term unless either party provides a minimum of 30-day's written notice of its intention not to renew or if both parties agree to enter a new contract term for a determined time period.

9.2 Cancellations become effective on the day they are processed by HireDigitalMarketingTeam. The Client will be notified of the cancellation via email.

Service Warranty

10.1 HireDigitalMarketingTeam expressly disclaims any and all warranties regarding or related to this agreement other than those imposed by statute under the laws of the Commonwealth of Australia or New South Wales.

10.2 HireDigitalMarketingTeam makes no warranty or representation:

10.2.1. as to the position your advertisement is placed on a search result page, or the frequency and time of day that your advertisement is displayed;

10.2.2. for any specific result on any search engine;

10.2.3. as to the quantity or quality of increased traffic or sales to the Client’s Website; or as to Client Website’s ranking. In particular, the Client acknowledges that the search engines change their ranking algorithms on a regular basis and new sites and competitor sites may be being optimized and submitted continually.

10.3 While Google’s results are displayed on other search engines, HireDigitalMarketingTeam’s Services are aimed at increasing visibility and boosting traffic from Google. Google does change its algorithm and HireDigitalMarketingTeam is not responsible for the client’s rankings due to this algorithm change. HireDigitalMarketingTeam will endeavor to maintain the Client’s Google rankings, but the Client acknowledges that HireDigitalMarketingTeam is not liable for any loss of business due to ranking fluctuations caused by Google algorithm changes. HireDigitalMarketingTeam is not responsible for the Client’s ranking fluctuations that may have been caused by this previous SEO work.

10.4 The Client acknowledges and agrees that:

10.4.1. the information available on or through the Client’s Website following the application of the Services is not reviewed, controlled or examined by HireDigitalMarketingTeam in any way before it appears on Client’s Website;

10.4.2. HireDigitalMarketingTeam does not endorse, verify or otherwise certify the contents of any such information; and

10.4.3. The Client remains at all times legally responsible for the content of the Client’s Websites (including in connection with infringement of intellectual property rights of any other party).

10.5 HireDigitalMarketingTeam does not warrant or guarantee that:

10.5.1. any information available on or through HireDigitalMarketingTeam will be free of infection by viruses.

10.5.2. that the functions or services performed by HireDigitalMarketingTeam or a Supplier will be uninterrupted or error-free, or that defects in Services will be corrected.

10.6 The Client remains responsible for the ongoing security and integrity of their own software, website, networks and systems.

10.7 The Client agrees to share the Client’s website URL, keywords used for SEO purposes, website design, and/or social media profile URLs created/or managed by HireDigitalMarketingTeam on HireDigitalMarketingTeam marketing materials (such as websites, proposals, and portfolio examples), unless the Client instructs otherwise.
